1. Definitions
“Company” means HP91 Limited trading as Hadley Parker.
“Client” means any individual, company, or organisation engaging the Company.
“Works” means electrical services supplied, arranged, or managed by the Company.
2. Scope of Services
2.1 The Company provides electrical services to residential and commercial clients.
2.2 Works may include both notifiable and non-notifiable electrical services.
2.3 The Company is responsible for estimating, quoting, coordinating the Works, issuing invoices, carrying out reasonable quality checks, and managing the client relationship.
3. Performance of the Works
3.1 The Company may, where appropriate, carry out the Works using its own personnel and/or carefully selected subcontractors.
3.2 Any subcontractors engaged by the Company are suitably qualified, competent, vetted, and insured to perform the relevant Works.
3.3 The use of subcontractors does not affect the Company’s role in coordinating the Works or invoicing the Client.
4. Compliance and Certification
4.1 Where Works are notifiable or require certification, such certification shall be issued by an appropriately registered and qualified person.
4.2 Certification and compliance documentation are issued in accordance with applicable regulations and competent person scheme requirements.
5. Liability
5.1 The Company shall only be liable for loss or damage arising directly from its own negligence or breach of contract.
5.2 The Company shall not be liable for:

Any defects, failures, or damage arising from pre-existing electrical installations

Work carried out by third parties prior to engagement

Hidden defects or conditions not reasonably identifiable before the Works commence
5.3 Where Works are carried out by subcontractors, responsibility for workmanship, certification, and regulatory compliance rests with the party carrying out the Works, subject to their own contractual obligations and insurance.
5.4 The Company shall not be liable for indirect or consequential losses, including (without limitation) loss of profit, business interruption, or loss of use.
6. Insurance
6.1 The Company maintains appropriate:

Public Liability Insurance

Professional Indemnity Insurance

Legal Expenses Cover
6.2 Subcontractors engaged by the Company maintain their own relevant insurance cover.
7. Pre-Existing Conditions and Damage
7.1 The Company shall not be responsible for damage or defects arising from:

Existing installations
-
Non-compliant or deteriorated wiring or equipment
-
Previous works carried out by others
7.2 Any additional works required as a result of such conditions will be subject to a separate quotation.
8. Variations and Additional Works
8.1 Any variation or additional work not included in the original quotation must be agreed in writing.
8.2 The Company reserves the right to issue additional invoices for agreed variations.
9. Payment Terms
9.1 Unless otherwise agreed in writing, payment is due within 30 days of completion of the Works.
9.2 Late payments may be subject to additional invoicing and, where applicable, interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
9.3 The Company reserves the right to withhold certification, documentation, or further services until payment has been received in full.
10. Suspension and Termination
10.1 The Company reserves the right to suspend or terminate services where payment terms are breached.
10.2 The Client remains liable for all costs incurred up to the date of suspension or termination.
11. Warranties
11.1 No warranty is provided for:

Existing installations
-
Client-supplied materials
-
Works affected by misuse, alteration, or third-party interference
11.2 Any warranties provided by manufacturers or subcontractors are subject to their own terms.
12. Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control.
13. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
14. Acceptance
Engagement of the Company’s services constitutes acceptance of these Terms and Conditions.
